Terms and Conditions

Welcome to MK Consultancy (https://mk-consultancy.co.uk). These Terms and Conditions (“Terms”) govern your use of this website and the professional consultancy services provided by Michelle, operating as a Sole Trader (“the Consultant”).

1. Services and Scope

The Consultant provides business consultancy services as described on the website. Each project or engagement will be subject to a specific Service Agreement or Statement of Work which will outline the deliverables and specific fees.

2. Status of the Consultant

The Consultant operates as an independent contractor. Nothing in these Terms shall render the Consultant an employee, agent, or partner of the Client. The Consultant is responsible for all their own tax and National Insurance contributions in the United Kingdom.

3. Fees and Payment

  • Invoicing: Invoices will be issued as agreed upon at the start of the project.

  • Payment Terms: Fees are payable as specified on the relevant invoice or Service Agreement.

  • Late Payments: In accordance with the Late Payment of Commercial Debts (Interest) Act 1998, the Consultant reserves the right to charge interest and recovery costs on overdue accounts.

4. Intellectual Property

  • Pre-existing Material: The Consultant retains ownership of all pre-existing tools, methodologies, and templates used during the consultancy.

  • Client Deliverables: Upon receipt of full payment, the Client is granted a non-exclusive, perpetual license to use the final deliverables (reports, strategies, etc.) for their internal business purposes.

5. Client Responsibilities

The Client agrees to provide all necessary information and cooperation required for the Consultant to perform the services. The Consultant is not liable for delays or errors caused by inaccurate or missing information provided by the Client.

6. Limitation of Liability

To the fullest extent permitted by law:

  • The Consultant’s total liability for any claim arising from the services shall be limited to the total fees paid by the Client for that specific project.

  • The Consultant shall not be liable for any indirect or consequential loss, including loss of profit, revenue, or business reputation.

  • Nothing in these terms excludes liability for death or personal injury caused by negligence.

7. Cancellation and Termination

Either party may terminate a project by providing written notice. The Client will remain liable for all work completed and expenses incurred up to the point of termination.

8. Governing Law

These Terms and any dispute or claim arising out of them shall be governed by and construed in accordance with the laws of England and Wales, and Scotland. Both parties agree to the exclusive jurisdiction of the courts in these regions.
